Don't miss two critical articles from the Center in the May issue of Trustee magazine. The articles, which focus on the board's role in risk management and oversight, contain timely survey data and analysis.

First, the "Hot Topics" section reports on the results of a survey of 258 hospital and health system CEOs conducted in December 2008 by the Center in partnership with the Health Research & Educational Trust. The survey focused on:

  • the types of risk analysis conducted by the board;
  • the board's activities in evaluating and monitoring financial risk;
  • the board's responses to potential increases in financial risk; and
  • the importance of an organization's overall risk level in its strategic planning.

Findings indicated that risk associated with capital and with the organization's reputation or brand were the areas in which most respondents conducted a regular, comprehensive risk analysis. The report also notes that a majority of respondents reported that bonds and debt servicing had been board agenda topics over the past 12 months. Most respondents also said that they had reviewed management's action plans focused on the long-term viability of the organization over the same period.

Next, cCommenting on the survey results in a "Center Voices" column, Frederick A. Hessler, managing director, Citi, suggests that hospitals and health systems should place greater emphasis on engaging their boards in overseeing management of risks associated with the financial and capital structure of their organizations. He recommends a number of actions to improve governance effectiveness in this area, including:

  • Identifying alls risks inherent in the organization's financial and capital structure.
  • Defining and quantifying an acceptable level of tolerance for each risk.
  • Adopting a comprehensive approach to overseeing and managing the interplay of risks associated with the organization's investment portfolios and debt outstanding.
