Boards Prepare for Greater Transparency and Accountability |

Regulatory and market changes such as the new IRS Form 990 requirements and legislative efforts to hold nonprofits more accountable for their tax-exempt status are further raising the bar on governance transparency, performance and accountability.
In their upcoming Governance Insights column, published in Healthcare Executive, a journal of the American College of Healthcare Executives, Mary K. Totten and James E. Orlikoff pose several questions boards can ask to determine their readiness for these new requirements. The article, titled "Are You Ready for Greater Transparency and Accountability?," addresses questions such as:
- Does our board have in place an up-to-date conflicts-of-interest policy? Does it define what a conflict is and how conflicts will be addressed? How often do we consult our policy during meetings of the board? How frequently are disclosures filed?
- Do we have in place up-to-date policies on issues such as whistle-blower protection, document retention and joint ventures? Are board policies and other documents such as bylaws and financial statements publicly available?
- Does our full board review the Form 990 before it is filed? Do we post the Form 990 on our organization's Web site?

The Center is pleased to introduce Governance for Health Care Providers: The Call to Leadership. Published in December by Productivity Press, this new publication is designed to help health care professionals serve as more effective board members.
The publication features a chapter contributed by Center president John Combes, MD, and Gene O'Dell, vice president of development & operations. The chapter, titled "Strategic Planning: The Board's Role," was excerpted in a recent issue of AHA News.

The Center for Healthcare Governance presents its fall Symposium on governing and leading health care organizations. In this three-day program, trustees and executive leadership will gain insights into the trends that are dictating reform and learn strategies and tools for navigating this increasingly turbulent environment.
- In plenary sessions, industry experts will offer analyses of the contextual issues framing the health care environment, from the effects of a global economic crisis, to the efforts of a new administration and industry leaders to advance health care reform, to emerging opportunities for engaging physicians in clinical transformation, and rising expectations for transparency and accountability.
- In small group interactive sessions, we'll focus on innovative models and strategies for honing governance performance around executive compensation, succession planning, and assessment of emerging technologies.Your board will enhance its ability to promote quality improvement, evaluate strategic options and manage risk.
- You'll also learn what makes for a great board member by studying the characteristics and competencies that appear to lead to governance excellence.
